SaaS Car, Inc. dba myodo Effective Date: July 7, 2026
This Shop Partner Agreement ("Agreement") governs your participation as a repair shop on the myodo platform. By completing onboarding and accepting this Agreement, you ("Shop," "you") agree to these terms with SaaS Car, Inc. dba myodo ("myodo," "we," "us").
myodo provides software that helps your repair shop win, serve, and retain customers. We provide:
We are a technology provider. We do not perform repairs, set prices, or direct your work. You are an independent business, not an employee, agent, or franchisee of myodo.
To participate on the platform, you must:
(a) Hold a valid California Bureau of Automotive Repair (BAR) registration and maintain it for the duration of this Agreement; (b) Maintain general liability insurance with minimum coverage of $1,000,000 per occurrence; (c) Comply with all applicable laws, including California Business & Professions Code §§ 9880–9889 (Automotive Repair Act); (d) Designate at least one authorized user for the shop dashboard.
We may verify your BAR registration status at any time. Lapse of BAR registration is grounds for immediate suspension.
When a customer books an appointment or contacts your shop through the Service:
You are responsible for obtaining any consent required by applicable law (including the Telephone Consumer Protection Act and CAN-SPAM Act) before messaging your customers, and for honoring opt-out requests. The Service provides opt-out handling (e.g., STOP for text messages) to assist you.
Through the Service, you and your customers provide:
You may use customer data to operate your shop and serve and market to your own customers, consistent with applicable law and any consent your customer has given.
You may NOT:
You are responsible for your own CCPA/CPRA compliance with respect to the customer data you control, including responding to customer access, deletion, and correction requests for data you hold. Where myodo receives a consumer privacy request that concerns service records you uploaded, myodo will forward it to you within five (5) business days, and you remain responsible for responding as the Business with respect to those records.
Repair orders created or uploaded through the platform must comply with California BAR requirements:
For each service record that you or an authorized user uploads to the platform, you grant myodo a non-exclusive, worldwide, royalty-free, fully paid-up, sublicensable license to host, store, parse, index, and display the service records in order to operate and provide the Service. This license is irrevocable as to service records uploaded during your subscription; termination does not revoke the license as to records uploaded before the termination date.
myodo may create de-identified, vehicle-level data — indexed by Vehicle Identification Number (VIN), with all consumer-identifying and shop-identifying fields removed — derived from the service records uploaded to the platform. As between you and myodo, myodo exclusively owns the de-identified and aggregated data it creates, and may retain, aggregate, analyze, derive insights from, and commercialize it for any lawful purpose. myodo's ownership of, and right to retain and use, this de-identified data survives the termination or expiration of this Agreement with respect to service records uploaded during your subscription. You will not, following termination or expiration, assert any right of deletion or return over the de-identified dataset. myodo treats this dataset as De-Identified Information under Cal. Civ. Code § 1798.140(m), maintains safeguards against re-identification, and publicly commits not to re-identify it, as described in the Privacy Policy.
With respect to the de-identified, aggregated dataset described in Section 5.3, myodo acts in its independent capacity as a Business (controller) operating the Service, and not as your service provider or processor. Nothing in this Section limits your ownership of the underlying service records as records of your repair business.
Shop access to the myodo platform requires a paid subscription of $100 per month, billed monthly. There is no free tier and no free trial. Fees are billed in advance and due within 30 days of invoice. All fees are non-refundable except as required by applicable law.
Your subscription automatically renews each month unless you cancel. The automatic-renewal terms are presented to you clearly and conspicuously before purchase, and we obtain your affirmative consent to those terms at sign-up, consistent with California's Automatic Renewal Law (Cal. Bus. & Prof. Code §§ 17600–17606). You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period.

You agree to indemnify and hold harmless myodo from claims arising from:
MYODO'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. MYODO SHALL NOT BE LIABLE FOR LOST REVENUE, LOST CUSTOMERS, OR INDIRECT DAMAGES ARISING FROM PLATFORM DOWNTIME, ALGORITHM CHANGES, OR REFERRAL VOLUME FLUCTUATIONS.
This Agreement is effective upon acceptance and continues until terminated.
Either party may terminate with 30 days' written notice.
We may suspend or terminate immediately if:
By completing shop onboarding on the myodo platform, you acknowledge that you have read, understood, and agree to this Shop Partner Agreement.
